The Website is intended for business users (wholesale/distribution). By using the Website, you represent that you are (a) at least 18 years old and (b) acting on behalf of a business or in a professional capacity with authority to bind that business to these Terms.

Vesta Global distributes licensed and novelty products to qualified wholesale customers. Any product descriptions, SKUs, specifications, pack sizes, and compliance notes are subject to change. Certain products may be restricted by territory, channel, age, or other licensing requirements.
6) Orders, Pricing & Availability
Quotes & Order Acceptance. Quotes are valid only for the period stated. An order is accepted only when we send a written order confirmation or ship the products. We may decline or cancel any order at our discretion (e.g., availability, compliance, pricing errors).
Pricing Errors. If a price or availability error is identified, we may cancel the order or adjust it after notifying you; you may then choose to proceed or cancel.
Minimums. Casepack minimums, order minimums, or channel restrictions may apply.
Substitutions. We may substitute comparable items with your consent if an item is unavailable.
7) Payment Terms
Methods. We may accept wire/ACH, credit card, or other methods as communicated in writing. Credit card payments may incur processing fees.
Terms. Unless otherwise stated in our invoice, payment is due prior to shipment. If credit terms are approved, invoices are due as stated (e.g., Net 15/30).
Late Payments. Past-due balances may accrue a late fee or interest at the maximum rate permitted by law, plus reasonable collection costs and attorneys’ fees. We may suspend future shipments or cancel orders for non-payment.
8) Taxes & Compliance
Prices typically exclude sales/use/VAT/GST and other taxes, duties, or fees. You are responsible for all applicable taxes unless a valid exemption certificate is provided and accepted by us in writing. You agree to comply with all applicable import/export, sanctions, and anti-corruption laws.
9) Shipping, Title & Risk of Loss
Shipping Terms. Unless otherwise stated in writing, shipments are FOB shipping point (or the equivalent under Incoterms as noted on the invoice). Title and risk of loss pass to you upon carrier pickup.
Delivery Dates. Any delivery dates are estimates and not guarantees. We are not liable for delays outside our reasonable control.
Inspection & Claims. You must inspect shipments promptly on delivery. Shortages, visible damage, or incorrect items must be reported in writing within 5 business days of delivery; concealed damage within 10 business days.
10) Returns, Refunds & Cancellations
Authorization Required. No returns will be accepted without a prior written Return Merchandise Authorization (RMA).
Condition. Unless defective, items must be unopened, in resalable condition, and returned within 30 days of delivery.
Restocking Fee. Returns (other than our error or defective products) may be subject to a restocking fee (e.g., 15%) and you are responsible for return shipping.
Non-Returnable Items. Clearance, custom, seasonal, expired, or close-dated goods are non-returnable unless required by law.
Refund Method. Approved refunds are typically issued to the original payment method or as a credit memo.
Cancellations. Order cancellation requests must be made in writing and may be refused or subject to fees if the order has been processed or shipped.
11) Intellectual Property
All content on the Website—including logos, product imagery, texts, graphics, and layouts—is owned by Vesta Global or its licensors and protected by applicable IP laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent. Licensed brand names and characters are the property of their respective owners.
12) User-Generated Content
We do not permit users to upload or publicly post content on the Website. Any attempt to do so may be removed and may result in restricted access.
13) Third-Party Services & Links

14) Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, VESTA GLOBAL AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR THE SALE/USE OF PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCTS GIVING RISE TO THE CLAIM IN THE 3 MONTHS PRECEDING THE EVENT.

These Terms and any dispute arising out of or related to them shall be governed by the laws of the State of New York, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York.

We may update the Website, our product offerings, and these Terms at any time. Changes are effective when posted with the “Last Updated” date above. Your continued use after changes constitutes acceptance.
